These Terms & Conditions ("Terms", "Agreement") govern your access to and use of our website located at https://digiaiskill.com, as well as any digital agency services, proposals, software configurations, and deliverables provided by DigiWorks.
Please read these Terms carefully before engaging our services or using our website. By accessing our site, requesting a quotation, executing an agreement, or making a payment, you ("Client", "User", "you") acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

If you represent a company, business, or other legal entity, you confirm and warrant that you possess the authority to bind such entity to these Terms.

3. Intellectual Property Rights
The allocation of intellectual property rights is governed as follows:
3.1 Client Deliverables
Upon receipt of 100% full and final payment for the project, all bespoke designs, graphic assets, copy created specifically for the project, and custom frontend and backend code developed exclusively for the Client transfer to the Client's ownership.
3.2 Pre-Existing IP and Third-Party Tools
DigiWorks retains all ownership, rights, and title to pre-existing codebases, reusable software modules, proprietary frameworks, internal design libraries, and tools utilized during development. The Client is granted a non-exclusive, perpetual, royalty-free license to use such background technology solely as incorporated into the final deliverable.
Third-party libraries, plugins, open-source software (including WordPress core and GNU GPL licensed components), stock photographs, and commercial fonts remain subject to their respective third-party licenses.
3.3 Portfolio and Promotional Use
Unless expressly forbidden in a signed non-disclosure agreement (NDA), DigiWorks reserves the right to showcase completed project visuals, design screenshots, URL links, and non-confidential case summaries in our professional portfolio, marketing collateral, and social media channels.
4. User & Client Responsibilities
To ensure successful and timely project execution, the Client agrees to:
- Provide Timely Assets & Information: Furnish all necessary content, copy, text, branding guidelines, high-resolution logos, product information, and hosting credentials in a timely manner.
- Warranty of Supplied Materials: Ensure that all materials, media, trademarks, and text supplied to DigiWorks are owned by the Client or that the Client holds valid licenses. The Client agrees to indemnify DigiWorks against any third-party copyright, trademark, or intellectual property claims arising from supplied materials.
- Review & Approvals: Promptly review submitted milestone previews, design mockups, and test builds, and provide consolidated, constructive feedback within the agreed review window (typically 3 to 5 business days).
- Lawful Use: Refrain from requesting or utilizing our services to build, host, or distribute illegal content, malicious software, deceptive material, hate speech, or content violating applicable laws.
5. Payment Terms & Invoicing
Financial arrangements for projects are conducted under the following terms:
- Quotations: Project quotations are valid for thirty (30) calendar days from the date of issuance.
- Deposit / Upfront Payment: Unless specified otherwise in writing, a standard upfront deposit (typically 50% of the total project fee) is required prior to project scheduling, discovery, or work commencement.
- Milestone Payments: For larger engagements, intermediate payments are billed upon the completion and approval of designated milestones (e.g., design approval, staging site completion).
- Final Balance: The remaining balance is due upon project completion and must be cleared prior to final deployment, file transfer, live migration, or access handover.
- Late Payments: Invoices not settled within the designated payment term may result in immediate suspension of development, pause in maintenance services, or postponement of launch schedules until the outstanding balance is satisfied.
6. Project Timelines & Revisions
Project schedules and estimated launch dates provided by DigiWorks are good-faith estimates based on standard workflows and anticipated client responsiveness.
- Timeline Adjustments: Delays resulting from client non-responsiveness, delayed content provision, or substantial scope changes will naturally extend project timelines without fault to DigiWorks.
- Revision Rounds: Each project includes a designated number of revision rounds (typically two rounds per phase) as defined in the project proposal. Revisions allow adjustments to design alignment, typography, minor styling, and layout tuning.
- Scope Creep: Requests for new pages, complex feature additions, architectural redesigns, or third-party integrations not included in the original project proposal will be quoted separately as out-of-scope additions.
7. Website Hosting, Maintenance & Third-Party Dependencies
DigiWorks works with modern industry standards; however, certain external factors remain outside our direct control:
- Hosting Services: Unless the Client is enrolled in an active DigiWorks managed maintenance and hosting package, the Client is responsible for procuring their own domain and web hosting. DigiWorks is not responsible for server outages, hardware failures, DNS propagations, or hosting performance issues caused by third-party hosting companies.
- Third-Party Plugins & Updates: Web platforms utilize third-party plugins, extensions, and external APIs. DigiWorks is not responsible for future bugs, software deprecations, fee modifications, or vulnerabilities introduced by third-party plugin developers after final project sign-off, unless covered by an ongoing Website Maintenance plan.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- DigiWorks provides its website and services on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, statutory, or implied.
- In no event shall DigiWorks, its officers, employees, agents, or contractors be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages whatsoever, including without limitation loss of profits, loss of business revenue, loss of data, reputational damage, or business interruption.
- The total aggregate liability of DigiWorks arising out of or related to any project, whether in contract, tort (including negligence), or otherwise, shall strictly not exceed the total fees actually paid by the Client to DigiWorks for the specific service or project deliverable giving rise to the claim.
9. Termination of Services
Service engagements may be terminated under the following conditions:
- Termination for Convenience: Either party may terminate a project agreement upon delivering seven (7) days written notice to the other party.
- Termination for Cause: DigiWorks may immediately suspend or terminate services if the Client breaches these Terms, engages in abusive conduct, fails to fulfill payment obligations, or requests illegal activities.
- Settlement Upon Termination: Upon termination, the Client shall immediately compensate DigiWorks for all work completed, hours logged, and expenses incurred up to the date of termination. Any deposits already expended on completed labor are non-refundable.
10. Confidentiality
Both parties agree to treat all non-public technical, commercial, financial, and strategic information exchanged during the course of the engagement as strictly confidential. Neither party shall disclose such proprietary information to any third party without prior written consent, except as required by operation of law.
11. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or related to their subject matter shall be governed by and construed in accordance with the laws of the jurisdiction in which DigiWorks operates, without regard to its conflict of law principles.
In the event of any disagreement or dispute, both parties commit to attempting good-faith informal negotiations for a minimum period of thirty (30) calendar days prior to initiating formal litigation or arbitration proceedings.
12. Severability & Entire Agreement
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. These Terms, alongside agreed project proposals, constitute the entire agreement between the parties regarding the subject matter herein.
13. Changes to These Terms
We reserve the right to amend or update these Terms & Conditions at our discretion. Any revisions will be published on this page with the updated "Last Updated" date. Continued access to our website or utilization of our agency services following such modifications indicates your acceptance of the updated Terms.
